Welcome to XtractSol. These Terms of Service ("Terms") represent a legally binding agreement between you (personally or on behalf of the entity that you represent) and XtractSol Tech ("we," "us," or "our"), governing your access to and use of our website (xtractsol.com), our proprietary software application platforms, and our custom AI agentic workflow automations (collectively, the "Services").

By accessing, browsing, registering for, or using our Services, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree to all of these Terms, you are prohibited from using the Services and must cease all access immediately.

XtractSol designs, deploys, and host agentic artificial intelligence systems configured to automate backend transaction and administrative workflows. These Services are tailored primarily for the real estate, mortgage lending, and title insurance sectors.

Key components of our Services include:

• AI-driven document intelligence: parsing, data extraction, validation, and data entry of real estate agreements and loan packets.
• Automated workflow coordinators: monitoring transaction deadlines, sending reminder prompts, routing files for approvals, and triggering status updates.
• Integrations: synchronizing data points between client documents and target operational databases (such as CRM or Loan Origination Systems).
• Consultation & Design: building custom-scoped software configurations under professional service addendums.

We reserve the right to modify, suspend, or discontinue any aspect of our website or software services at any time, with or without notice.

To access specific workflow interfaces or dashboards, you may be required to register a user account. You agree to:

• Provide true, accurate, current, and complete details during registration.
• Maintain the confidentiality of your credentials, password, and API keys.
• Promptly notify us at info@xtractsol.com if you detect any unauthorized access, security breach, or loss of access keys.
• Assume responsibility for all activities occurring under your credentials. XtractSol cannot and will not be liable for losses or damage resulting from your failure to protect your login safety.

XtractSol Proprietary Rights:

Except for Customer Data (defined below), all right, title, and interest in and to the Services—including our proprietary source code, software databases, parsing algorithms, automated workflow triggers, customized AI agent configurations, designs, graphics, branding, and text—are and will remain the exclusive property of XtractSol and our licensors. These assets are protected by copyright, trademark, and trade secret laws.

Nothing in these Terms grants you a license to duplicate, reverse-engineer, modify, or distribute our proprietary code or design frameworks without our prior express written authorization.

Your Data Rights:

You retain all ownership rights, copyrights, and database rights in any transaction documents, customer records, data points, or text that you submit, upload, or sync to the Services ("Customer Data").

License Grant to XtractSol:

You grant XtractSol a non-exclusive, worldwide, royalty-free, fully paid-up license to host, copy, transmit, parse, and process your Customer Data solely as necessary to provide, maintain, and support the Services on your behalf.

Data Representation:

You represent and warrant that you own or have secured all necessary permissions, consent forms, and authorizations under applicable state and federal regulations (including GLBA and state consumer privacy laws) to upload and process the Customer Data through our automated AI pipelines.

Our Services rely on artificial intelligence, machine learning models, and automatic document parsing technologies. Because AI works based on probabilistic patterns, you acknowledge the following parameters:

Important Notice: AI outputs, parsed numbers, data extractions, and automated audit summaries are generated to assist human operators. They are not absolute guarantees of accuracy and should not replace licensed human review.

Human-in-the-Loop Requirement:

You agree that you will maintain qualified human personnel ("Human-in-the-Loop") to audit, check, verify, and approve critical automated outputs (for example, parsed financial loan calculations, title search matches, closing timelines, or client disclosures) before executing legally binding transaction documents or transferring escrow funds.

XtractSol is not responsible for errors, delays, financial loss, compliance penalties, or operational failures resulting from relying solely on raw, unverified AI outputs.

• Pricing: Subscription fees, execution usage limits, and custom developer hourly rates are outlined in separate written Order Forms, invoices, or proposals signed by the client.
• Billing and Payments: Clients agree to pay all charges in accordance with the specified billing terms. Unless otherwise negotiated, subscription invoices are due net-15 days from the date of issue.
• Late Payments: Unpaid balances past the due date may incur late charges or lead to suspension of access to our AI workflow pipelines until all outstanding amounts are resolved.
• Taxes: All fees are exclusive of applicable provincial, state, or federal taxes, which will be billed as required by local tax legislation.

You agree not to use the Services to:

• Violate local, provincial, state, federal, or international laws, including the Fair Housing Act, Gramm-Leach-Bliley Act (GLBA), and consumer lending rules.
• Upload document content that is defamatory, offensive, harassing, or infringes on third-party intellectual property or copyright.
• Reverse engineer, decompile, or disassemble our parsing scripts or workflow systems.
• Bypass, disable, or tamper with security-related parameters, access controls, or rate limits.
• Deploy spiders, crawlers, or scraper scripts to extract platform data or content from our public website.

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. XTRACTSOL DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE COMPLETELY ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF VIRUSES, OR THAT THE AI PARSING EXTRACTS WILL BE 100% ACCURATE IN EVERY SCENARIO.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL XTRACTSOL, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

XTRACTSOL'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE LIMITED TO THE TOTAL FEES PAID BY YOU TO XTRACTSOL DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless XtractSol and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your misuse of our website or automation services.
• Any breach of your representations or obligations under these Terms.
• Any violation of applicable data privacy laws (e.g. GLBA, CCPA, GDPR) related to Customer Data uploaded to our servers.

Termination by Client:

You may terminate your account or subscription in accordance with the terms of your specific service agreement.

Termination by XtractSol:

We may suspend or terminate your access to the Services immediately, without prior notice or liability, if you violate any provision of these Terms or fail to resolve billing defaults.

Upon termination, your license to use the Services will immediately expire, and we will purge your transaction data pipelines in accordance with our data retention schedule.

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of Pakistan (Punjab province), without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Lahore, Pakistan, and each party irrevocably submits to the exclusive jurisdiction of such courts.
